BASIC GUIDELINES
1- PURPOSE OF THE PROGRAM
The Argentine Foundation for the Promotion of Investments and International Trade (the "Foundation"), creates "Export Argentina" Program (the "Program") with the purpose of facilitating the dissemination and realization of business among small and medium argentinean exporting companies (PyMEx) from all over the country and foreign importers; concentrate in a single place the national exportable supply of goods and services, surveyed at federal level; and increase the exposure of Argentine companies and products through a high-impact website.
2- GENERAL DESCRIPTION OF THE PROGRAM
The Program consists of the creation of a business directory through a website (www.exportargentina.org.ar) where the Argentine exportable offer is integrated in order to facilitate the demands of foreign importers. Argentine companies will be able to offer information about their trajectory, description of their products and contact information, allowing the importer to pre-select those counterparts that offer the best compatibility with their requirement, enabling them later to establish direct contact.
The recipients of the Program are the Argentine exporting companies and PyMES with export potential, exporting consortiums, chambers/sectoral agencies and export promotion agencies (the "Exporters" and each of them, the "Exporter") and foreign importers (the "Exporters" and jointly with the Exporters, the “Users”).
3- OBLIGATORY OF THE TERMS AND CONDITIONS
The Program will be governed by these terms and conditions (the "Terms and Conditions"), which may be modified by the Foundation at any time by making the modified terms public on the Website. All the modified terms will come into force at the time of its publication, without the Foundation being obliged to state the reasons for such change. This requires the user to read, understand and accept "The Terms and Conditions" at the time of using the service.
The participation in the Program and/or the use of the website thereof implies full acceptance of the Terms and Conditions by the Users.
4- REGISTRATION TO THE PROGRAM
Exporters who wish to register for the Program must complete the corresponding form provided by the Foundation (the "Registration Form").
To register an Exporter, you must have enough power to contract in the name and representation of the entity that registers, as well as to bind the same in the terms of these Terms and Conditions.
Without prejudice to the validations that the Registration Form may require, the Foundation reserves the right to request additional documentation in order to corroborate the identity and/or information loaded, as well as to unsubscribe from the website on a temporary basis. or definitive to those Exporters whose information could not be confirmed, without such circumstances generating right to compensation or compensation.
Likewise, the Foundation reserves the right to reject any application for registration or to cancel a previously accepted registration, without being obliged to communicate or explain the reasons for its decision and without generating any right to compensation or a restitution.
5- DATA AND INFORMATION SUPPLIED
The Users acknowledge and accept that the data and information included in the Registration Form (the "Data") may be used and processed by the Foundation for the fulfillment of the Program’s purposes.
In this sense the Exporters expressly authorize the Foundation to publish all or part of the Data on the Program’s website in the way that it is consider most convenient for its purposes, including the possibility of translating the Data to another language.
Likewise, the Foundation may process the Data, combine it with other information obtained from bases to which the Foundation has access and share them with the agencies and member organizations of the Federal Network.
The Exporters guarantee to the Foundation the veracity and accuracy of the consigned Data.
6- GOODS AND SERVICES
They can only be entered as goods or services for export, those whose commercialization is not prohibited by the applicable regulations. Neither may be consigned products or services that violate the moral and good customs.
The Foundation is not responsible for the veracity of the characteristics of the goods or services published by the Exporters or for the reliability of the Buyers who show interest in them, limiting their function to facilitate the contact of supply and demand through of the Program's website.
7- OBLIGATIONS OF THE USERS
Since the Foundation does not have any participation in the process of negotiation and improvement of the commercial operations that may possibly take place between the Users, the Users will be the sole and exclusive responsible for all the obligations related thereto, including without implying any limitation,fiscal, tax and custom obligations.
8- RESPONSIBILITY
The Foundation does not intervene in any way in the negotiation and/or improvement of the operations that Users may carry out, nor in the conditions stipulated for them, for this reason it will not be responsible for the offered goods or services' existence, quality, quantity, status, integrity or legitimacy, acquired or alienated by the Users, as well as the Users' ability to contract or the veracity of the Data entered by them. Each User acknowledges and agrees to be solely responsible for the goods and services published for their sale and for the offers and/or purchases made.
Users acknowledge and agree that when conducting transactions with other Users or third parties, they do so at their own risk. In no case shall the Foundation be responsible for any damage and/or prejudice of any kind that the User may have suffered, due to the operations carried or not carried out between the Users of the Program and/or between them and other third parties.
In the event that one or more Users or any third party initiates any type of claim or legal action against another or other Users, each and every one of the Users involved in such claims or legal actions exempts the Foundation and its president, directors, managers, employees, representatives and attorneys, from any responsibility, forcing themselves to keep them unharmed.
9- FAULTS ON THE WEBSITE
The website of the Program may not be available due to technical difficulties or Internet failures, or any other circumstance outside the Foundation. In such cases, efforts will be made to restore it as quickly as possible, without incurring any responsibility whatsoever for the Foundation. The Foundation will not be responsible for any errors or omissions contained in its website.
10- INDEPENDENT PARTS
The Program does not create any type of partnership, association or employment relationship between the Foundation and the Users or any of them individually considered. In this regard, the Foundation and each of the Users shall at all times retain their full independence, autonomy and technical and legal individuality. There will be no presumed solidarity, and the liability to third parties shall be attributable to each of them, exclusively, by their own acts or omissions. In particular, each party will be responsible for their own tax, labor and social security obligations.
11- APPLICABLE LAW AND JURISDICTION
The Program and these Terms and Conditions are governed by the Law of the Argentine Republic. Any controversy that may arise within the framework, shall be submitted to the jurisdiction of the Ordinary Courts of the City of Buenos Aires.
